PRESS STATEMENT BY THE BOARD OF DIRECTORS OF MUSIC COPYRIGHT SOCIETY OF KENYA LTD (MCSK) ON THE STATUS OF ITS GOVERNANCE AND MANAGEMENT AS OF 26TH NOVEMBER 2024.

The Board of Directors of MUSIC COPYRIGHT SOCIETY OF KENYA LIMITED (MCSK) would like to set the record straight concerning the misinformation that has been propagated for the better part of the weekend on social media platforms regarding its Governance and Management.
The Board, on behalf of the over 16,000 MCSK Members from across the country, would like to state categorically that it is fully behind the CEO, Dr. Ezekiel Mutua, MBS and MCSK Management under him.
The Board is happy and satisfied with the great work Dr. Ezekiel Mutua, MBS, has done within a short time since he was recruited to lead change management and give strategic directions as the CEO of MCSK about two (2) years ago.
Dr. Mutua has brought charisma, vibrancy and visibility to MCSK and generally to the Kenyan music industry. His enthusiasm and commitment to promoting musical talents and defending the rights of artists has brought a positive change on the importance of music in Kenya. Dr. Mutua is a highly experienced professional with passion and love for the music industry and has brought his local and international networks to bear in promoting MCSK members and the music industry as a whole.
The MCSK Board therefore takes great exception to the malicious propaganda that has been peddled on our CEO by people claiming to be directors.
The Board has already instituted legal action against the people behind the malicious attacks on our CEO.
It should be noted that the authors of this propaganda against the CEO are the same people who stopped MCSK elections and later filed false documents with the Registrar of Companies claiming to be Director of MCSK. This matter is in Court and also under police investigations.
The Board has taken legal action against the culprits for the irregular and unlawful actions that resulted in unprocedural changes to the records of the Company.
These people are being used by cartels who want to misappropriate the hundreds of millions of shillings collected through the Private Copying Remuneration (Blank Tape Levy). They are also involved in engaging a new licensing system that is managed by cartels who are out to fleece musicians.
Their actions of causing to be issued, published and circulating false and derogatory public notice and statements are defamatory and the Board of Directors of MCSK shall fully support Dr. Ezekiel Mutua in instituting legal action against them.
Additionally, the MCSK Board of Directors resolved, in line with the MCSK Memorandum and Articles of Association, to further institute appropriate disciplinary actions against any MCSK members involved in these unprocedural and unlawful activities. The matter will be presented at the upcoming Annual General Meeting (AGM).
The MCSK Board will in the next two (2) weeks issue a notice for its national elections in line with the MCSK Memorandum and Articles of Association as read with MSCK Election Rules. We have requested the office of the Registrar of Companies and the Independent Electoral and Boundaries Commissions (IEBC) to supervise and observe the elections to ensure transparency and fairness.

TO ALL MCSK MEMBERS AND STAKEHOLDERS.
My attention has been brought to some insidious propaganda being peddled on social media concerning MCSK leadership and in particular our CEO Dr. Ezekiel Mutua, MBS.
The material being circulated by people with ill motives is pure propaganda by cartels in the industry who are unhappy with the great work Dr. Mutua is doing for MCSK and the music industry in general. Bringing change in an industry that has for far too long been held hostage by cartels at the expense of the artists is bound to attract enemies but we are fully behind the CEO and his team at MCSK as they transform the industry.
Appropriate action is being taken against the authors of the malicious documents to ensure that they face the law for defamation and spreading falsehoods. In the meantime, our members and stakeholders can rest assured that Dr. Mutua is in charge and the MCSK leadership is fully behind him.
This is therefore to request Music Copyright Society of Kenya (MCSK) members and stakeholders to dismiss the propaganda being peddled with the contempt it deserves.
